Built for fitness business ownership, growth, and transactions
Our growth has been intentional
We built a team that understands fitness businesses from the inside out – former gym owners, operators, and industry professionals who know how these businesses actually run, where deals break down, and what sophisticated buyers expect to see.
We don’t just understand the law.
We understand the business behind it.
Our team
Matt Becker, Esq.
Founder & lead M&A attorney
Former 11-year CrossFit affiliate owner
With more than 15 years of legal experience and over a decade as a gym owner, Matt Becker is one of the most experienced fitness-industry M&A attorneys in the country.
Matt’s practice is focused on fitness business transactions – including acquisitions, exits, partner buyouts, multi-location deals, and roll-up strategies – along with the legal and structural planning that makes those transactions successful. He brings a rare combination of operator perspective, deal fluency, and legal precision, allowing him to anticipate issues long before they surface in diligence or negotiations.
Having owned and operated a CrossFit affiliate for 11 years, Matt understands the realities behind the numbers: revenue concentration, coaching-dependent businesses, lease risk, member churn, and what truly transfers to a buyer. That insight shapes how deals are structured, valued, and negotiated.
Today, Matt advises fitness business owners, strategic buyers, and private equity groups nationwide – helping them protect value, reduce risk, and execute transactions that hold up after closing.
Outside of work, Matt still trains daily and remains deeply connected to the fitness community that shaped his career.
Nick Fiorilli, Esq.
Associate attorney
Current 12-year CrossFit affiliate owner
Nick Fiorilli brings a dual perspective as both an attorney and long-time gym owner, currently operating a CrossFit affiliate he’s owned for more than 12 years.
Nick’s work focuses on fitness business compliance, contracts, and operational legal strategy, supporting owners as they build stable, transferable businesses. His firsthand experience running a gym informs his practical approach – helping clients balance legal protection with real-world operations.
Nick plays a key role in ensuring Gym Lawyers PLLC clients are properly structured, documented, and prepared – particularly when compliance issues intersect with future transactions.
When he’s not working, Nick enjoys time with his wife Katie and their three boys, catching a Cleveland Guardians game, and continuing his quest to become an average golfer.

Adam has served as treasurer for a nonprofit with a $250K annual budget and currently works as a financial analyst for a major government contractor, overseeing one of its largest programs with more than $450M in annual revenue.
He is known for bringing clarity, precision, and structure to complex financial data—and yes, he genuinely enjoys spreadsheets.
Ivanna Herasme
Legal assistant
Ivanna supports the team with legal operations, document preparation, and client coordination, among other things. Before joining Gym Lawyers, she practiced as an attorney in the Dominican Republic and worked closely with small business owners on a wide range of legal matters.
She is currently working toward her paralegal certification and enjoys continuing to grow her legal skillset while supporting fitness business clients.

- Fitness business ownership
- Compliance and risk management
- M&A legal strategy
- Financial analysis and value opinion
- Operational execution
That combination allows us to support fitness businesses not just legally – but strategically, at every stage of ownership.
